Welcome to Reelsy. These Terms of Service ("Terms") govern your access to and use of our AI-powered video creation platform. By accessing or using Reelsy, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our website, or using our services, you:

• Acknowledge that you have read and understood these Terms
• Agree to be bound by these Terms and our Privacy Policy
• Represent that you are at least 13 years old (or 16 in the EU)
• Have the legal capacity to enter into a binding contract

2. Description of Service

Reelsy provides an AI-powered platform for creating short-form videos, including:

• AI script generation and video creation tools
• Character design and scene generation
• Voice synthesis and audio composition
• Video rendering and export capabilities
• Cloud storage for your content
• API access for developers (paid plans)

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with or without notice.

3. Account Registration

3.1 Account Creation

To use Reelsy, you must:

• Provide accurate and complete information during registration
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Not share your account credentials with others
• Not create multiple accounts to abuse free credits

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4. Credits and Subscription

4.1 Free Plan

• New users receive 80 credits upon registration
• Free plan includes watermarked videos and standard quality
• Credits do not expire but are non-transferable

4.2 Paid Plans

• Starter ($29/month): 600 credits/month, no watermark, premium voices
• Growth ($79/month): 2,400 credits/month, longer videos (60s), priority generation
• Ultra ($299/month): 10,000 credits/month, extended videos (90s), API access, voice cloning

4.3 Billing

• Subscriptions are billed monthly in advance via Stripe
• Credits are granted at the start of each billing cycle
• Unused credits do not roll over to the next month
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the subscription expires.

5. Acceptable Use Policy

You agree NOT to use Reelsy to:

5.1 Prohibited Content

• Create illegal, harmful, or offensive content
• Generate deepfakes or impersonate real individuals without consent
• Produce sexually explicit, violent, or hateful content
• Create content that infringes on intellectual property rights
• Generate misleading or deceptive content (fake news, scams)
• Violate any applicable laws or regulations

5.2 Prohibited Activities

• Reverse engineer, decompile, or hack our services
• Bypass usage limits or credit systems
• Resell or redistribute our services without permission
• Use automated tools to scrape or abuse our API
• Interfere with the operation of our platform
• Upload malware, viruses, or harmful code

5.3 Enforcement

Violation of this policy may result in:

• Removal of content
• Suspension or termination of your account
• Forfeiture of credits and subscription fees
• Legal action and reporting to authorities

6. Intellectual Property Rights

6.1 Your Content

You retain ownership of the videos and content you create using Reelsy. However, you grant us a limited license to:

• Store, process, and display your content to provide the service
• Use anonymized data to improve our AI models (you can opt out)
• Showcase your work in our gallery (with your permission)

6.2 Our Platform

Reelsy and its underlying technology are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our software
• Use our trademarks without permission
• Remove copyright or proprietary notices

6.3 Third-Party Content

Some features use third-party AI models (OpenAI, Anthropic, Google). Your use of these features is subject to their respective terms:

7. Disclaimers and Warranties

7.1 Service "As Is"

REELSY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy or reliability of AI-generated content
• Security or freedom from viruses

7.2 AI-Generated Content

AI models may produce unexpected or inaccurate results. You are responsible for reviewing and verifying all content before use. We do not guarantee:

• Quality or accuracy of generated videos
• Originality or non-infringement of AI output
• Suitability for your specific use case

7.3 Downtime

We strive for 99.9% uptime but cannot guarantee uninterrupted service. Maintenance, outages, or third-party failures may cause temporary disruptions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REELSY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from unauthorized access or data breaches
• Content created by third-party AI models
• Reliance on AI-generated content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless Reelsy from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the service
• Content you create or upload
• Violation of these Terms
• Infringement of third-party rights

10. Termination

10.1 By You

You may terminate your account at any time by:

• Canceling your subscription in account settings
• Contacting support to delete your account

10.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• Your account is inactive for 24 months
• We are required to do so by law
• You engage in fraudulent or abusive behavior

10.3 Effect of Termination

Upon termination:

• Your access to the service will be revoked
• Unused credits will be forfeited
• We will delete your data within 90 days (unless legally required to retain)
• You may export your content before termination

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

11.2 Arbitration

Any disputes arising from these Terms will be resolved through binding arbitration, except:

• Small claims court actions (under $10,000)
• Intellectual property disputes

12. Changes to Terms

Continued use after changes constitutes acceptance. If you disagree, you must stop using the service and terminate your account.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reelsy.

13.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force.

13.3 Waiver

Failure to enforce any right does not waive that right.

13.4 Assignment

You may not assign these Terms. We may assign them to an affiliate or successor entity.
